The specific scope, deliverables, timelines, and pricing for each project are defined in a separate Service Agreement or Proposal issued to the client before work commences. In the event of any conflict between these Terms and a signed Service Agreement, the Service Agreement shall take precedence.
4. Quotes, Proposals & Project Agreements
All quotes and proposals issued by BitDrum are valid for 30 days from the date of issue unless otherwise stated. A quote or proposal does not constitute a binding agreement until:
- The client provides written acceptance of the proposal
- A deposit or agreed initial payment has been received by BitDrum
BitDrum reserves the right to revise quotes if the project scope changes materially after a quote has been issued. Any changes to scope after project commencement will be handled through a formal Change Order, which may affect the timeline and cost.
5. Payment Terms
Unless otherwise stated in a Service Agreement, the following payment terms apply:
- Deposit: A non-refundable deposit of 50% of the total project cost is required before work commences.
- Balance: The remaining balance is due upon project completion, prior to the final delivery or launch of the project.
- Milestone Projects: For larger projects, payments may be structured around agreed milestones as outlined in the Service Agreement.
- Late Payments: Payments not received within 14 days of the due date may result in suspension of work. BitDrum reserves the right to charge interest on overdue amounts.
- Currency: All payments are in Ghana Cedis (GHS) unless otherwise agreed in writing.
BitDrum accepts payments via bank transfer, Mobile Money (MTN MoMo, Vodafone Cash, AirtelTigo Money), and other methods as agreed. Receipts will be issued for all payments received.
6. Client Responsibilities
To enable BitDrum to deliver your project on time and to the agreed standard, you agree to:
- Provide accurate, complete, and timely information, content, and materials required for the project
- Designate a primary point of contact who is authorised to make decisions on behalf of your organisation
- Provide timely feedback and approvals at each agreed stage of the project
- Ensure that any content, images, logos, or materials you supply do not infringe the intellectual property rights of any third party
- Make payments according to the agreed schedule
Project delays caused by late feedback, missing content, or non-payment from the client are not the responsibility of BitDrum and may result in revised timelines or additional costs.
7. Intellectual Property
7.1 Client-Owned Materials
All content, logos, images, trademarks, and other materials provided by the client remain the intellectual property of the client. By providing such materials to BitDrum, you grant us a non-exclusive licence to use them solely for the purpose of completing your project.
7.2 Project Deliverables
Upon receipt of full payment, BitDrum transfers ownership of the final project deliverables (website, application, or software) to the client. Until full payment is received, all work remains the intellectual property of BitDrum.
7.3 BitDrum’s Pre-existing IP
BitDrum retains ownership of all pre-existing tools, frameworks, libraries, templates, and methodologies used in the development of your project. A non-exclusive licence to use these as part of your delivered project is granted upon full payment.
7.4 Portfolio Rights
BitDrum reserves the right to display completed projects in our portfolio, case studies, and marketing materials unless the client requests otherwise in writing prior to project commencement.
8. Confidentiality
BitDrum treats all client information, business data, and project details as strictly confidential. We do not share, sell, or disclose your information to third parties without your consent, except where required by law or where necessary to deliver your project (e.g., engaging a specialist subcontractor under a confidentiality obligation).

9. Revisions & Change Requests
Each project includes a defined number of revision rounds as agreed in the Service Agreement. Revisions refer to minor adjustments within the original agreed scope (e.g., colour changes, text edits, layout tweaks).
Requests that go beyond the original scope — such as adding new features, redesigning major sections, or changing the fundamental direction of the project — are considered scope changes and will be quoted separately as a Change Order. Work on scope changes will not begin until the Change Order is approved and any required payment is received.
10. Cancellation & Refund Policy
If a client wishes to cancel a project after work has commenced, the following applies:
- Before work begins: The deposit is non-refundable but may be credited toward a future project at BitDrum’s discretion.
- After work has begun: The client is liable for payment of all work completed up to the point of cancellation, in addition to the deposit already paid.
- After project completion: No refunds will be issued once the final deliverables have been approved and delivered.
BitDrum reserves the right to cancel a project if the client fails to meet their obligations (e.g., non-payment, failure to provide required materials) after reasonable notice has been given. In such cases, payment for work completed to that point remains due.
11. Warranties & Disclaimers
BitDrum warrants that:
- All services will be performed with reasonable skill, care, and diligence
- Deliverables will conform to the agreed specifications at the time of delivery
- We will not knowingly use materials that infringe third-party intellectual property rights
BitDrum does not warrant that:
- Websites or applications will be completely free from bugs or errors at all times
- Hosting services will be uninterrupted or error-free (though we strive for maximum uptime)
- Specific business outcomes (e.g., revenue targets, traffic goals) will be achieved through the use of our services
Our website and its content are provided “as is” without warranties of any kind, express or implied, to the fullest extent permitted by law.
12. Limitation of Liability
To the fullest extent permitted by applicable law, BitDrum’s total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total amount paid by you to BitDrum in the three (3) months preceding the claim.
BitDrum shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or reputational damage, even if we have been advised of the possibility of such damages.
This limitation of liability does not apply in cases of gross negligence, wilful misconduct, or fraud by BitDrum.

Some projects may incorporate third-party tools, plugins, platforms, APIs, or services (e.g., WordPress, Shopify, payment gateways, cloud providers). These third-party services are governed by their own terms and conditions, and BitDrum is not responsible for their availability, performance, pricing changes, or policy updates.
Any costs associated with third-party licences, subscriptions, or APIs required for your project will be disclosed in the proposal and are typically the responsibility of the client unless otherwise agreed.
